The ‘Directors Duties (2020)’ programme will draw on the following resources; *A range of international legislation and Company Law as well as governance codes, including the King IV Code of Corporate Governance™, dependent on the jurisdictions represented *The Four-Flows Model of Accountability, Responsibility, Authority and Disclosure (Roger Hitchcock) *The Board Eectiveness Model of Governance (Roger Hitchcock) Other relevant best practice guidelines and publications Each of the sessions will be structured to allow for discussion and debate around the key issues being addressed with a view to unpacking the practical application of the concepts and principles in the day to day operations of the various businesses. Space will be provided to ‘workshop’ some of the key concepts.

The best directors are not only well-informed, up-to-date and attuned to the environment, they are also well-connected, engaged in the director community and eager to gain and share knowledge. This event provides interaction with industry experts who inspire you to think beyond your current assumptions. Director are facing systemic risks due to many aspects of business and the market being inter-connected, resulting in an ever increasing need to create strategies that will get and keep their companies on the right track. In order to perform at a global level, there is a call for a new generation of directors who can deal with the complexity from a governance perspective and understand the risks that the landscape in which the company is doing business poses. The call is for a global board of directors, with greater emphasis on diversity to have a savvy business sense when performing their duties.

Directors and Board are in the spotlight internationally. With every day’s news-flow filled with stories of corporate failures of so many kinds it is imperative that director’s and boards refocus on what their role and duty is within the companies they lead – and the society they operate within. As a result, the intense focus on ‘good corporate governance’ continues! With the spotlight once again pointing to numerous examples of ‘bad governance’ or ‘governance failure’ people continue to ask themselves how do we do ‘good governance’? Throughout the world authorities and regulators continue to develop both guidelines and regulation to address the ongoing failure but the biggest challenge remains ‘what do these regulations, principles and guidelines actually look like in my businesses? The many changes, twists and turns throughout the past few years that have also introduced new levels of risk and uncertainty into the organisational operating environment. Things will never (quite) be the same again – it is no good longing for, or returning to, the way things were – since they will never be the same. At the same time we have seen significant changes in both legislation and standards, codes of governance and broader expectations on both companies and more specifically on those who lead them. It is becoming more and more evident that directors, auditors, and other ocers of companies who FAIL to educate themselves about AND acquaint themselves with, AND apply the principles of corporate governance will be hard pressed, if things go wrong, to answer the charge that they FAILED to take reasonable steps to comply with their duties of trust and care and diligence. Practically, good governance is simply good business! And good business requires good directors who fully understand the full scope of Directors Duties and Board Responsibilities and know, not only the theory of these, but also the practical aspects of Board Performance and Dynamics. We have certainly ended the era of ‘governance as box-ticking’ – since this never has and will never guarantee an eective board. Robust thinking and appropriate application of the principles and recommendations of governance in each specic context (sector, business, operational environment, stakeholder universe etc.) is what needs to be addressed to build an eective board. The Directors Duties Programme seeks to address the wide scope of Director and Board Responsibilities and activities in a practical, engaging way to facilitate the application of the underlying principles to each and every company or entity in a way that moves each one forward.
